SEC proposes crypto rulebook with two registration exemptions as Clarity Act stalls

The US Securities and Exchange Commission has proposed "Regulation Crypto Assets", a bespoke framework for token offerings in the US, moving ahead while Congress debates the Clarity Act. The proposal creates two exemptions from Securities Act registration: a one-time exemption for up to $5 million over four years, and up to $75 million per 12-month period with financial statements and ongoing reporting requirements. Both tiers require issuers to provide investors with written narrative disclosures covering their business and risks.
